Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Qoat operational alignment platform and the qoat.ai website (the "Service"), provided by Qoat, LLC ("Qoat", "we", "us"). By accessing or using the Service, you agree to these Terms.
1. The Service
Qoat is a business monitoring and alignment platform that provides assessments, drift detection, continuity monitoring, and related reporting. We may modify, add, or discontinue features at any time.
2. Accounts & registration
- Access is granted by request and administrator approval. You agree to provide accurate information.
- You are responsible for safeguarding your credentials and for all activity under your account.
- Notify us promptly of any unauthorized use at align@qoat.ai.
3. Acceptable use
You agree not to: (a) access data or accounts that are not yours; (b) probe, scan, or test the vulnerability of the Service without authorization; (c) interfere with or disrupt the Service; (d) scrape or harvest data by automated means except as expressly permitted; or (e) use the Service to violate any law or third-party rights.
4. Your data & ownership
As between you and Qoat, you retain ownership of the organization, contact, opportunity, and assessment data you submit ("Customer Data"). You grant Qoat a limited license to host, process, and display Customer Data solely to provide and improve the Service. Our handling of personal data is described in our Privacy Policy.
Data accuracy. Where you or your personnel upload, enter, or otherwise supply data to the Service, you represent that such data is accurate, complete, and not altered to misrepresent your operations. You are responsible for the data you provide; where an output is affected by inaccurate, incomplete, or manipulated input, responsibility for that input rests with the party that supplied it.
5. Plans, engagements & fees
Platform plan tiers are currently set administratively. Paid professional-services engagements (such as operational assessments, workflow documentation, and workflow assistance) are scoped in a separate written agreement and invoiced through Square, our third-party payment processor. Payments are made to Square under its terms; Qoat does not collect, process, or store your card or bank-account details. Any platform subscription fees we introduce in the future will be presented and agreed before they apply.
6. Intellectual property
The Service, including the Qoat platform, the Operational Alignment Assessment framework, scoring methodology, software, and trademarks, is owned by Qoat and protected by intellectual-property laws. These Terms grant you no rights to our marks or content except the limited right to use the Service.
7. Confidentiality
Each party may receive non-public information from the other. The receiving party agrees to protect such information and use it only to perform under these Terms.
8. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Assessment outputs are informational and do not constitute professional, legal, or financial advice.
Scope of assurance. Qoat's reads, scores, and reports are computed from the data you provide and reflect that data's internal consistency and its alignment (or divergence) with your stated figures. They are not an audit, attestation, or certification of the truth, completeness, or authenticity of the underlying data, and you shall not represent them as such to any third party. Qoat does not warrant that outputs will be error-free. Our assurances strengthen as data is drawn directly from your source systems rather than by manual upload.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, QOAT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA, ARISING FROM YOUR USE OF THE SERVICE.
10. Indemnification
You agree to indemnify and hold Qoat harmless from claims arising out of your misuse of the Service or violation of these Terms.
11. Termination
We may suspend or terminate access for violation of these Terms or to protect the Service. You may stop using the Service at any time. Provisions that by their nature should survive termination will survive.
12. Governing law
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules.
13. Changes to these Terms
We may update these Terms from time to time. Material changes will be reflected by updating the effective date and, where appropriate, by notice. The current version is maintained under version control.
